What Is the Opportunity?

The Senior Counsel, Compliance provides legal advice and support on compliance, privacy, sanctions, market conduct, ethics, and regulatory matters. This role also helps design, implement, monitor, and report on regulatory compliance matters and will regulatory partner with Senior Management, and the various business and functional areas, to close non-compliance items and enhance compliance controls and policies to strengthen the company’s compliance culture.

More specifically, the position will:

Provide legal advice and support on compliance, market conduct, ethics, privacy, sanctions, and regulatory matters.

Handle moderate to highly complex legal matters.

Communicate independently with high-level internal and/or external clients on regulatory compliance, privacy, and sanctions issues.

Ensure the day-to-day operations of the company/business group comply with provincial/territorial and federal laws, regulations and related company policies.

Complete risk assessments and planning activities, draft and conduct compliance training, track and help remediate non-compliance items, and prepare guidelines, tools, and other compliance tools.

Monitor new laws and regulations, conduct testing of compliance with internal controls and policies, support the response to regulatory and privacy audits, assessments, surveys, and requests for information from the various regulators and provincial and federal governments.

What Will You Do?

  • Provide day-to-day legal advice and support on compliance, privacy, sanctions, market conduct, and other matters.

  • Identify, monitor, and provide updates on case law, legislative developments, and legal trends. Effectively communicate new laws and regulations mandated by government and regulatory bodies to the company/business and ensure proper and timely implementation of same.

  • Lead the Regulatory Compliance Management (RCM) Program, ensuring adherence to mandates and protocols. Direct the development of compliance procedures and internal protocols in accordance with RCM Framework.

  • Resolve complex compliance issues in coordination with internal business areas. Conduct compliance monitoring and testing and perform annual compliance self-assessments. Manage legal and regulatory compliance projects, and develop compliance best practices, policies, and procedures for company/business.

  • In collaboration with business partners, assist in the identification of trends and root cause analysis in compliance matters and determine whether enhancements or actions are required to improve corporate processes or procedures, or whether new training or activities or controls are needed.

  • Respond to surveys, questionnaires and information or data requests from various regulators, and support the response to regulatory audits, assessments and examinations. Reporting, review, and investigation of sanctions inquiries.

  • Prepare quarterly compliance reports, and annual Compliance/Privacy reporting to Board and senior management. Conduct privacy impact assessments and manage privacy inquiries, incidents, access requests and breach management.

  • Provide advice on and complete ad hoc projects related to CASL and consent-related questions and procedures.

  • Perform other duties as assigned.

What Will Our Ideal Candidate Have?

  • 7 years of prior legal and/or compliance experience.

  • Active license in good standing with the law society.

  • Experience with Canadian federal and provincial/territorial P&C regulatory guidelines, regulations and procedures.

  • Project Management skills or training is also an asset.

  • Proven leadership and management experience.

  • Exceptional ability to think strategically and apply critical thinking skills.

  • Excellent communication skills, both verbal and written.

  • Ability to communicate thoughts/designs/ideas in an unambiguous manner and adjust communication based on audience.

  • Ability to clearly and concisely communicate with the business.

  • Understanding of business issues and priorities.

What is a Must Have?

  • Juris Doctorate or equivalent legal degree; graduate of an accredited law school.
