What you'll be doing

Reporting to the AVP Transformation and Operational Excellence, the Director Governance and Control will be accountable for the governance, and controls for Administration. This role plays a pivotal role in ensuring that Administration operates within the framework of relevant regulations and standards, through deficiency oversight, SOX testing, RCSAs, and maintaining a culture of adherence to standards and policies. This role is responsible for providing strategic leadership and direction to Administration.

Responsibilities include building a horizontal dashboard of all controls, deficiencies, and action plans; supporting the continuous improvement of financial and non-financial controls consistent with the governance standards and requirements established by CIBC; leading the Administration CIRA committee, and end to end SOX testing.

How you'll succeed

  • Governance and Risk management- Ensure CIBC procedures and policies are being followed to eliminate risk exposure and potential financial loss to the organization. Lead planning, testing, deficiency management, and control activities to support all of Administration (excluding Internal Audit). Build and lead the Administration CIRA committee. Design, implement a deficiency dashboard for all of Administration. Lead a team focused to deliver on governance activities for Administration. Work with the Adminsitration Senior Leadership Team to ensure that effective business controls are in place to meet all of CIBC operating requirements relating to, but not limited to CIBC Control Framework (act as Lead SOX Maintenance Officer), Information Secuirty, Corporate Mandatory Training and Testing (CMTT). Ensure that an effective and documented internal control structure is in place as evidenced by policies and procedures specific to the individual activity. Manage in-depth analysis to determine root cause of issues/concerns and find resolution through the review of key controls reporting. Provide oversight/monitoring for the testing and review of the FPC, OPC and LCM results to ensure CIBC’s control methodologies are adhered to. Establish objectives and deadlines for FPC, OPC and LCM processes to ensure the completeness and accuracy of Controls documentation in the Controls repository. Handle inquiries, clarifications and interpretations from Global Operations Risk Management, Compliance, internal and external auditors to expedite quarterly certifications. Establish relationsips with other stakeholders of the CIBC Control framewok across the organization to facilitate communication and teamwork (e.g. GORM, Compliance, Testers, Process Owners, Accountable Officers, internal and external auditors). Interpret, provide advice on and promote compliance with policies, procedures and standards in routine and non-routine situations to ensure adherence to CIBC and Unit/Departmental policies and procedures.

  • Records Management & Reporting- Document, maintain and understand the various processes as they relate to assigned tasks, and take preventative action to resolve anticipated problems. Focus on continuous improvement and process enhancement to recommend changes to existing programs to strengthen our governance position. Lead all SOX activity (Administration excluding Internal Audit) including: Manage quarterly control testing – plan, initiate, review, and present to SLT. Create and maintain existing controls RCSA (Risk and Control Self Assessment). Actively monitor, update, and report on deficiencies as required. Assist with any audit activities for EY and/or IA supporting Administration (excluding IA). Coordinate with Accountable Officers on a quarterly basis to ensure that closing assessments and assertions are signed off. Ensure appropriate internal controls are in place to achieve complete and accurate processing and reporting of financial information, including Corporate Visa Card, invoicing etc.

In this role you will be managing a team with 3 direct reports.
