Team Overview

EDC is seeking a team and solution-oriented Senior Law Clerk to join its Legal Services division of approximately 35 lawyers and Law Clerks who provide a wide range of legal services to the Corporation.

EDC’s Legal Services is a dynamic, client-oriented environment, supporting EDC’s range of activities and services. Legal Services provides legal representation and assistance for all of its product offerings including loans and insurance transactions and knowledge business products. As well, the team supports EDC’s corporate function including its procurement and marketing activities.

Key Responsibilities

  • Performs a variety of duties and responsibilities typically performed by a Senior Law Clerk within a corporate commercial environment (transactional, commercial, and corporate law work).

  • Has responsibility for and ownership of the management, implementation and maintenance of identified processes and systems.

  • Prepares and reviews draft financing documentation, identifies legal issues and provides solutions/recommendations.

  • Reviews and comments on external counsel’s agreements relating to standard transactions/documents.

  • Orders, reviews and organizes corporate and transaction searches.

  • Prepares and reviews and/or completes due diligence searches and security filings.

  • Orders and summarizes foreign regulatory opinions.

  • Liaises with clients, customers and external counsels and acts as subject matter expert on committees or otherwise, when and as required.

Screening Criteria

  • Minimum of 6 years of experience in legal department or private practice.

  • Advanced knowledge of legal principles and practices as a law clerk.

  • Proficiency in legal tools to perform due diligence searches and complete security filings.

  • Completion of a College Law Clerk Diploma or equivalent.

Assets

  • Ability to identify risks and bring solutions and recommendations to table.

  • Ability to understand business needs, nurture and develop relations and customize solutions based on understanding of the client needs.

  • Experience interacting with multiple stakeholders and be adaptive to various audiences.

  • Analyze objectives and be able to use negotiation tactics to create buy in for processes and procedures.

  • Contribute to continuous improvement initiatives.

  • Proven ability to adapt to change and work with team of lawyers to help business teams adapt to change.

  • Commitment to ongoing learning and development.

  • Strong team player who has the ability to work as a collaborative, cohesive unit (with other clerks and lawyers) and is open to input from others.

  • Proven ability to take the lead on projects and initiatives within the team.

  • Proficiency in both English and French (fully bilingual) strongly preferred.

Salary Range:

  • Legal Support 17: Salaries are based on qualifications and experience and typically range from $81,012 To $108,017 plus a performance-based incentive.

Location

  • Export Development Canada is a hybrid work environment.

  • This role may be performed from EDC’s headquarters in Ottawa, or from the Community Hub in Montreal or Toronto.
