This position is based in the Company’s office in New York, NY or Alpharetta (Atlanta), GA.
Working closely with the Corporate General Counsel, Corporate Counsel and Legal Team, the Corporate Counsel will serve as a generalist, providing legal support for a wide variety of internal clients within the AXIS group. The Corporate Counsel will provide support to: Vendor Management, Investments, Finance, Tax, Treasury and Human Resources departments. The Corporate Counsel will also provide legal advice on intellectual property, securities law and corporate citizenship matters.
The position will entail significant, independent interaction with senior management. Accordingly, exceptional judgment, technical expertise, attention to detail, excellent communication and interpersonal skills are required. Individual also must be energetic, flexible and resourceful. Importantly, candidate must be collegial and team-oriented, willing to work in a collaborative environment and contribute to a wide variety of initiatives and projects both within and outside of the Legal Department.
Key Duties & Responsibilities:
Assist in managing corporate governance documentation for global entities, including preparing necessary actions, maintaining corporate documentation and overseeing global entity organizational chart;
Prepare agendas, materials, written resolutions and minutes for board of directors and board committee meetings for AXIS Capital Holdings Limited and its global subsidiaries;
Help prepare and maintain governance-related charters, policies and procedures, including overseeing insider trading program, pre-clearance approvals and maintaining appropriate records;
Assist with distribution of Board meeting materials on the Company’s Board portal;
Negotiation of Contracts
Review, draft and negotiate commercial contracts, including IT licensing and outsourcing agreements;
Review and negotiate other agreements, including investment management agreements and non-disclosure agreements;
- Advise on the company’s intellectual property portfolio and trademark matters;
Work closely with the Treasury Team and assist with renewal and amendments to banking facilities;
Prepare resolutions and required certificates in connection with quarterly dividends;
Prepare and file Forms 3, 4 and 5, maintain SEC filing codes and assist new officers and directors with obtaining Section 16 filing codes;
Support the preparation of SEC filings, including Form 8-Ks, proxy statements, 10-Ks, 10-Qs and registration statements;
Prepare and maintain D&O Questionnaires and director information charts;
Coordinate and prepare materials for annual shareholder meeting and assist with all aspects of shareholder meeting and meeting logistics;
Provide support for securities offerings and M&A, including assisting with due diligence and closing materials;
Assist with executive and director compensation matters and equity plan administration;
Implement annual code of conduct training and certification program;
Assist the legal department’s efforts in the preparation, implementation and refinement of forms, processes and procedures relevant to areas of coverage; and
Assist with corporate citizenship initiative, as requested.
Required Education/Training &Experience:
Accredited law school graduate with strong academics
Licensed to practice law and in good standing
Two – three years large law firm or in-house corporate experience

Desire to function as a true generalist; willingness to continually learn new subjects, rather than simply leveraging expertise in just one or a few areas
Experience/familiarity with insurance/reinsurance preferred
