About this role:
Wells Fargo is seeking a Senior Counsel, Senior Assistant Vice President – M&A to join its Strategic Transactions Section in the Legal Department.
In this role, you will:
Provide legal support for Wells Fargo’s proprietary M&A transactions and strategic investments
Support Corporate Development, Enterprise Transition Services and lines of business across the Company on proprietary acquisitions, divestitures and joint ventures as well as strategic investments in venture and growth equity, industry consortium, Fintech, and similar investments
Provide legal advice and guidance to senior management on legal and regulatory matters impacting business strategy
Proactively identify policy, legal, and regulatory matters pertaining to area of expertise, and evaluate the legal risk and impact
Independently resolve complex issues and lead teams to meet deliverables
Exercise discretion and may serve as the primary legal contact for assigned transactions
Collaborate within the department and across business and staff functions to address legal and risk issues in a manner consistent with the best interests of Wells Fargo
Manage outside counsel and other service providers, as needed
Review and analyze moderately complex challenges that require an in-depth evaluation of variable factors
Draft complex legal documents, review and negotiate documents prepared by outside counsel
Independently resolve moderately complex issues and lead team to meet deliverables
Identify and analyze complex legal issues, develop conclusions, and make recommendations for issue resolution
Develop the strategic direction for management of related policies, procedures, and controls to mitigate risk
Collaborate with peers, colleagues, and mid-level managers to resolve issues and achieve goals
Lead projects, teams, or serve as a mentor for less experienced staff
Partner with business leaders and management of other corporate departments to develop and implement risk management programs
Required Qualifications:
4+ years of Law experience, or equivalent demonstrated through one or a combination of the following: work experience, training, military experience, education
Active State Bar membership or the equivalent in a country outside the United States
Desired Qualifications:
Mergers & acquisitions experience for financial institutions at a major law firm (or equivalent in-house experience), including negotiating experience
Participation on transaction deal teams and advising senior management on all legal aspects of proprietary M&A transactions and strategic investments, including structuring, drafting and negotiating agreements, conducting complex due diligence and actively managing outside counsel and internal processes from planning through post-closing stages
Working with legal and control functions, including risk, compliance and audit, to assess regulatory requirements relating to each transaction and developing appropriate solutions to address such requirements
Assessing legal risks arising from transactions, and applying policies and procedures and process changes to mitigate such risks
Experience providing legal support for equity investments
Providing legal guidance and expertise including general advice and drafting of transaction documentation and contracts
Supporting enterprise-wide initiatives including recovery and resolution planning, and general corporate work
Experience as a practicing attorney
Experience analyzing legal and regulatory issues in area of practice and provide effective counsel to clients on complex legal matters.
Strong attention to detail and accuracy
Excellent verbal, written, and interpersonal communication skills
Ability to work effectively in a complex environment with a high degree of collaboration
Job Expectations:
Travel up to 20%

Pay Range
Reflected is the base pay range offered for this position. Pay may vary depending on factors including but not limited to achievements, skills, experience, or work location. The range listed is just one component of the compensation package offered to candidates.
$120,400.00 - $250,000.00
